CHARLES TOWN, W.Va., Dec 12, 2008 (BUSINESS WIRE) -- American Public Education, Inc. (NASDAQ:APEI) - parent company of online
learning provider American Public University System, which operates
through American Military University and American Public University -
announced today the closing of its public offering of shares of its
common stock at $37.50 per share (before the underwriting discount).
The 4,227,952 shares sold in the offering consist of 15,000 shares that
were sold by the Company and 4,212,952 shares that were sold by ABS
Capital Partners and its affiliated funds. The Company is using the
proceeds it received primarily to pay the estimated offering expenses.
Any remaining proceeds to the Company will be used for working capital
and other general corporate purposes. The Company did not receive any of
the proceeds from the sale of common stock by ABS Capital Partners and
its affiliated funds. The sale of 4,212,952 shares by ABS Capital
Partners and its affiliated funds includes the exercise in full of the
underwriters' option to purchase up to an additional 421,295 shares at
the public offering price to cover over-allotments.
